FAQ
Where can I find all current Vermont Secretary of State business forms?
All Vermont business entity forms are published on the Business Filings portal of the Business Services Division. The portal organizes filings into Domestic Formation (Profit Corporation, Nonprofit Corporation, Cooperative, LLC, MBE, LLP, LP), Foreign Registration, Amendments & Restatements, Corrections, Dissociations, Mergers & Consolidations, Registered Office & Agent Filings, Annual & Biennial Reports, Reinstatements, End a Business, and Assumed Names.
The full fee schedule for every category of business filings is published on the Fees & Statutes page, with each filing keyed to its governing statute from the Vermont Statutes Online. Paper forms are not published online but are available by request through the Division.
Is the registered agent consent form required to be filed with the Vermont Secretary of State?
Vermont does not publish a separate registered-agent consent form. Consent is captured within the Statement of Change of Registered Agent itself, where both the entity’s authorized representative and the newly named registered agent sign the filing.
The completed Statement of Change is submitted to the Division through the Online Business Service Center; a copy of the agent’s signed acknowledgment is retained internally by the represented entity rather than filed as a standalone document with the state. Designating an agent without the agent’s actual consent exposes the filer to risk that the Division will reject the Statement of Change and that service of process may fail.
What form is used to change a registered agent in Vermont?
Vermont uses the Statement of Change of Registered Agent for every entity type to update its registered agent, registered office, agent mailing address, or agent email. The Division charges a $25 filing fee for corporations, nonprofits, and cooperatives, and a $35 filing fee for LLCs, LLPs, LPs, and MBEs per the Fees & Statutes page.
Filings are accepted online through the Online Business Service Center, by mail to 128 State Street, Montpelier, VT 05633, or in person at 128 State Street, Montpelier, VT 05633. Phone: (802) 828-2386. Email: SOS.CorporationsSupport@vermont.gov.
What is the difference between the entity-filed change form and the agent-filed change form in Vermont?
The entity-filed Statement of Change of Registered Agent is filed by the business itself with the signature of the new registered agent and a representative of the entity; it is the appropriate form whenever a represented entity is naming a new registered agent.
Vermont does not publish a separate agent-filed change form for the agent to update its own name or address without going through the represented entity. The only agent-filed option on Vermont’s record is the Statement of Resignation, which removes the agent from the public record; the represented entity must then file its own Statement of Change to appoint a successor. As a result, a non-commercial registered agent in Vermont must coordinate every address or name change with each represented entity so that the entity files the Statement of Change.
Is there a fee to form a nonprofit corporation in Vermont?
Yes. The Division charges a $155 fee for the Articles of Incorporation of a domestic nonprofit corporation, identical to the fee charged for a domestic for-profit corporation and a domestic LLC per the Fees & Statutes page.
Online submission through the Online Business Service Center does not carry an additional state convenience fee; filers pay only the $155 fee. A foreign nonprofit corporation applying for a Certificate of Authority is charged a higher $175 fee to offset the additional review work performed by the Division.
What forms are used to register an out-of-state LLC in Vermont?
An out-of-state LLC files through the Foreign Registration workflow to obtain authority to transact business in Vermont; the Division charges a $155 filing fee for the Certificate of Authority per the Fees & Statutes page.
The foreign LLC filing is also the path used to register a foreign PLC, foreign L3C, and foreign blockchain-based LLC since Vermont’s foreign registration workflow applies to all LLC variants under 11 V.S.A. Chapter 21. Each filing requires designation of a registered agent with a Vermont street address; a foreign LLC transacting business in Vermont without a Certificate of Authority may be subject to the penalties set out in 11 V.S.A. § 4012.
What forms are used to form or register a partnership in Vermont?
A Vermont limited partnership is formed by filing through the Domestic Formation — LP workflow; the Division charges a $130 fee, and the partnership is created as a new entity upon filing. A foreign LP files for Registration through the Foreign Registration workflow at a $155 fee.
A Vermont limited liability partnership is formed by registering through the Domestic Formation — LLP workflow; the Division charges a flat $70 fee with no per-partner calculation, and the filing registers limited-liability status for an already-existing partnership rather than creating a new entity. A foreign LLP files through the foreign registration workflow at the same $70 fee.
Vermont does not publish a separate LLLP formation form; a Vermont LLLP is created by first filing a domestic LP ($130) and then completing the LLP registration ($70) for the same partnership, per the matching entries on the Fees & Statutes page. A foreign LLLP completes the dual filing as both a foreign LP ($155) and a foreign LLP ($70).
Vermont does not publish a formation form for general partnerships and does not charge a filing fee for a general partnership; the optional Assumed Business Name Registration records a partnership’s name and agent for service of process through a $70 fee.
Can I file Vermont SOS forms online?
Yes. The Business Services Division operates the Online Business Service Center as its unified online portal, which requires a free user account. The Online Business Service Center supports domestic formation, foreign registration, annual or biennial report filing, amendment, dissolution and withdrawal, reinstatement, conversion, merger and consolidation, and registered-agent resignation.
Filers using the online portal pay the underlying state fee without an additional state convenience fee, and online filings are normally processed in less than one business day. Mail filings require an additional 7–10 business days for processing per the Business Filings portal. Filers who do not use the Online Business Service Center may submit paper filings by mail to 128 State Street, Montpelier, VT 05633 or in person at 128 State Street, Montpelier, VT 05633.
